These Terms of Service ("Terms") govern your access to and use of www.fabrica.tel and your purchase of products from Fabrica Trading CO., Limited ("Fabrica", "we", "us", or "our").

By accessing our website, creating an account, submitting an order, or purchasing a product from us, you agree to these Terms, together with our:

  • Privacy Policy

  • Return & Refund Policy

  • Shipping Policy

  • Any additional policies or notices displayed on our website

If you do not agree with these Terms, you should not use our website or place an order.

Nothing in these Terms limits or excludes any mandatory consumer rights that cannot legally be waived or restricted.

2. Eligibility

You must have the legal capacity to enter into a binding contract in your jurisdiction to place an order through our website.

If you are purchasing on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms.

You are responsible for ensuring that the information provided when placing an order is accurate and complete.


3. Products

We sell electronic devices, telecommunications equipment, accessories, and related products.

We make reasonable efforts to display product descriptions, specifications, images, colors, compatibility information, and other information accurately.

However:

  • Product images may be illustrative

  • Packaging may change

  • Manufacturers may make minor revisions

  • Screen colors may differ depending on your device

  • Software versions may differ

  • Certain features may vary by country, network, carrier, or region

Such differences do not constitute a defect where they do not materially affect the product's advertised functionality or where the relevant variation was disclosed.

Nothing in this section excludes statutory rights relating to products that are materially not as described or do not conform to applicable consumer law.


4. Regional and Network Compatibility

Electronic and telecommunications products may operate differently depending on:

  • Country

  • Mobile carrier

  • Frequency bands

  • Network technology

  • SIM or eSIM requirements

  • Local telecommunications regulations

  • Software region

  • Firmware

  • Language availability

  • Charging standards

  • Electrical standards

  • Local services

  • Carrier restrictions

Customers are responsible for reviewing available product information and confirming that a product is suitable for their intended country, carrier, network, and use before purchasing.

Where compatibility information has been clearly disclosed or reasonably made available before purchase, incompatibility with a customer's preferred network, carrier, SIM, eSIM, application, or country-specific service does not by itself make the product defective.

This does not limit any mandatory rights where we have provided incorrect or misleading compatibility information.


5. IMEI, Serial Numbers and Device Identification

Electronic devices sold by Fabrica may contain unique identifiers including:

  • IMEI numbers

  • Serial numbers

  • EID numbers

  • Manufacturer identifiers

  • Other device-specific identifiers

We may record and retain these identifiers for legitimate purposes including:

  • Order verification

  • Inventory management

  • Warranty administration

  • Return verification

  • Fraud prevention

  • Theft prevention

  • Chargeback disputes

  • Legal claims

A returned device may be checked to verify that its identifiers correspond to the device originally supplied.

Products with removed, altered, obscured, substituted, or manipulated identification numbers may be refused for return, warranty service, or refund where legally permitted.


6. Orders

Submitting an order constitutes an offer to purchase the products listed in your order.

An automated order confirmation acknowledges that we have received your order. It does not necessarily mean that the order has been finally accepted.

Unless applicable law requires otherwise, we may accept the order when we:

  • Confirm acceptance;

  • Confirm shipment; or

  • Otherwise expressly indicate that the order has been accepted.

We reserve the right to refuse or cancel an order before acceptance where reasonably necessary, including in cases involving:

  • Product unavailability

  • Suspected fraud

  • Unauthorized payment

  • Incorrect customer information

  • Obvious pricing errors

  • Technical errors

  • Export or import restrictions

  • Sanctions or regulatory restrictions

  • Suspected abuse of our services

  • Unusual order quantities

  • Security concerns

If we cancel an order after receiving payment and no goods are supplied, we will refund the amount due in accordance with applicable law.


7. Order Verification

Certain orders may require additional verification.

We may request reasonable information to confirm:

  • Billing information

  • Delivery information

  • Payment authorization

  • Transaction legitimacy

An order may be delayed or cancelled if requested verification cannot reasonably be completed.

We may use third-party payment and fraud-prevention services when reviewing transactions.


8. Pricing

Prices displayed on our website are shown in the currency selected or displayed at checkout.

Prices may change at any time before an order is accepted.

A price change does not normally affect an order that we have already accepted, except where correction is legally permitted.

Despite reasonable efforts, pricing or product information may occasionally contain errors.

If an obvious pricing or technical error occurs, we may cancel the affected order where permitted by law and refund any amount paid.

Nothing in this section allows us to avoid an accepted transaction where applicable law prevents us from doing so.


9. Taxes, Customs and Import Charges

Depending on your delivery destination, an order may be subject to:

  • VAT

  • Sales tax

  • Import VAT

  • Customs duties

  • Customs clearance fees

  • Brokerage charges

  • Local handling charges

  • Other government charges

Where such charges are collected by us during checkout, this will normally be indicated during the purchase process.

Unless expressly stated otherwise, customers are responsible for destination-country taxes, customs charges, duties, brokerage fees, and other import costs imposed after shipment.

Customers are also responsible for ensuring that the products they order may lawfully be imported into and used in their destination country.

We are not responsible for charges independently imposed by customs authorities, governments, carriers, or brokers, except where applicable law provides otherwise.


10. Payment

Payment must be made using one of the payment methods available at checkout.

Payment processing may be provided by third parties including Shopify Payments, payment gateways, banks, card issuers, or other payment providers.

By submitting payment information, you represent that you are authorized to use the selected payment method.

We may refuse, suspend, or cancel an order where payment:

  • Is declined

  • Cannot be verified

  • Is reversed

  • Appears unauthorized

  • Is reasonably suspected to be fraudulent


11. Currency Conversion

Where an order involves currency conversion, exchange rates or conversion fees may be determined by:

  • Shopify

  • Your bank

  • Card issuer

  • Payment processor

  • Payment provider

We are not responsible for exchange-rate differences or third-party currency conversion charges that we do not control.


12. Shipping and Delivery

Delivery estimates are estimates unless we expressly guarantee a specific delivery date.

Delivery times may be affected by circumstances including:

  • Carrier delays

  • Customs processing

  • Border inspections

  • Weather

  • Public holidays

  • Incorrect addresses

  • Remote delivery locations

  • Regulatory checks

  • Events outside our reasonable control

We will comply with any mandatory delivery periods required by applicable consumer law.

Customers must provide a complete and accurate delivery address.

Once an order is being processed or has shipped, we may not be able to modify the delivery address.


13. Delivery Risk

For consumer purchases, risk of loss or damage transfers in accordance with applicable consumer law.

Where applicable law requires it, risk remains with Fabrica until the customer or a person designated by the customer physically receives the product.

If a customer independently selects and commissions a carrier that was not offered by Fabrica, risk may transfer earlier where applicable law permits.

For business-to-business transactions, risk may transfer when the goods are delivered to the carrier, unless otherwise agreed in writing.


14. Incorrect Addresses and Failed Delivery

The customer is responsible for providing accurate delivery information.

If an order cannot be delivered because of:

  • An incorrect address

  • An incomplete address

  • Repeated failed delivery attempts

  • Failure to collect a parcel

  • Customer refusal

  • Failure to cooperate with customs

  • Non-payment of customer-responsible import charges

and the parcel is returned to us, any refund will be handled in accordance with our Return & Refund Policy and applicable law.

Where legally permitted, we may deduct actual and non-recoverable costs resulting from the failed delivery, including:

  • Return shipping

  • Customs charges

  • Carrier charges

  • Brokerage fees

  • Import/export costs

Refusing delivery does not automatically create a right to a refund where no such right exists under applicable law.


15. International Orders

Customers purchasing products for delivery outside the country from which the goods are shipped acknowledge that international orders may involve:

  • Customs procedures

  • Import regulations

  • Device registration requirements

  • Local telecommunications rules

  • Regional software differences

  • Carrier compatibility requirements

  • Taxes and duties

  • Additional delivery times

Unless mandatory local law provides otherwise, international sales outside jurisdictions providing statutory cancellation rights are subject to the conditions stated in our Return & Refund Policy.

Change-of-mind returns for international orders may not be accepted where no mandatory legal return right applies.


16. Import and Regulatory Compliance

Customers are responsible for determining whether possession, importation, registration, activation, and use of a product is permitted in their jurisdiction.

We may refuse to ship products to destinations where we reasonably believe delivery may violate:

  • Export restrictions

  • Import restrictions

  • Trade sanctions

  • Regulatory requirements

  • Carrier restrictions

  • Applicable law

We are not responsible for a customer's failure to comply with local registration, licensing, telecommunications, customs, or import requirements, except to the extent that mandatory law provides otherwise.


17. Returns and Refunds

Returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

Customers in jurisdictions with mandatory statutory withdrawal or return rights retain those rights.

For EU/EEA customers, applicable statutory withdrawal rights, including applicable distance-selling withdrawal periods, remain unaffected.

Where legally permitted, returned products may be inspected for:

  • Physical condition

  • Cosmetic condition

  • Signs of use

  • Product identity

  • IMEI

  • Serial number

  • Activation status

  • Software status

  • Accessories

  • Packaging

  • Missing components

  • Damage

  • Reduction in resale value

Where applicable law permits, a refund may be reduced to reflect a loss in value caused by handling or use beyond what is reasonably necessary to inspect the product.

18. Device Activation and Returns

Before returning an eligible device, customers may be required to:

  • Sign out of personal accounts

  • Disable activation locks

  • Disable device-tracking services

  • Remove SIM cards

  • Remove eSIM profiles where appropriate

  • Remove personal data

  • Restore the device to an appropriate factory state

The customer remains responsible for backing up and removing personal information before returning a device.

Fabrica is not responsible for the loss of customer data stored on returned devices, except where such liability cannot legally be excluded.

Where legally permitted, refund processing may be delayed while an activation lock, account lock, or similar restriction prevents reasonable inspection or resale of the device.


19. Warranty and Product Defects

Products may be covered by:

  • Mandatory statutory consumer guarantees

  • Manufacturer warranties

  • Commercial warranties expressly provided by Fabrica

Manufacturer warranties may vary depending on:

  • Product

  • Manufacturer

  • Country

  • Region

  • Original market of distribution

A manufacturer's commercial warranty does not replace any mandatory statutory rights applicable to the customer.

If you believe a product is defective, contact:

  • Your order number

  • Product serial number

  • IMEI

  • Description of the issue

  • Photos

  • Videos

  • Diagnostic information

We may require inspection or testing before determining the appropriate remedy.


20. Software, Accounts and Third-Party Services

Certain products depend on software, applications, operating systems, mobile networks, cloud services, manufacturer accounts, or third-party services.

Those services may be subject to separate terms established by their providers.

We do not control third-party services and cannot guarantee that a third party will:

  • Continue a service indefinitely

  • Maintain a particular feature

  • Support a specific device forever

  • Maintain current pricing

  • Maintain regional availability

This does not affect any obligation we have where the product itself fails to conform to our description or applicable law.


21. Customer Accounts

If you create an account, you are responsible for:

  • Maintaining accurate account information

  • Protecting your password

  • Maintaining the security of your login credentials

  • Activity conducted through your account

You should contact us promptly if you believe your account has been accessed without authorization.

We may suspend an account where reasonably necessary to investigate fraud, security threats, misuse, or violations of these Terms.


22. Fraud, Abuse and Chargebacks

Fraudulent use of our website, payment systems, returns process, warranties, or customer service is prohibited.

This includes:

  • Payment fraud

  • Identity fraud

  • Returning a different product

  • IMEI or serial-number manipulation

  • False non-delivery claims

  • False defect claims

  • Deliberate chargeback abuse

  • Submission of falsified documentation

Where a chargeback or payment dispute is initiated, we may provide relevant transaction evidence to the payment processor, card network, bank, or other competent party.

Nothing in this section prevents a customer from exercising a legitimate legal right to dispute an unauthorized or genuinely disputed transaction.


23. Prohibited Uses

You may not use our website:

  • For unlawful purposes

  • To commit fraud

  • To impersonate another person

  • To interfere with website security

  • To introduce malicious software

  • To scrape or systematically extract data without authorization

  • To attempt unauthorized access to systems or accounts

  • To violate intellectual property rights

  • To interfere with another customer's use of our services

We may restrict or terminate access where we reasonably determine that these Terms have been materially violated.


24. Intellectual Property

Unless otherwise stated, the website and its original content, including:

  • Logos

  • Designs

  • Layout

  • Product presentation

  • Photographs created by us

  • Website content

  • Branding

are owned by or licensed to Fabrica and are protected by applicable intellectual property laws.

You may use the website for personal and lawful shopping purposes.

You may not reproduce, commercially exploit, distribute, modify, or republish protected content without permission, except where permitted by law.

Third-party trademarks and product names remain the property of their respective owners.


25. Reviews and User Content

If you submit a review, photograph, comment, or other content to our website, you confirm that:

  • You have the right to submit it

  • It is not knowingly false

  • It does not violate another person's rights

  • It does not contain unlawful content

To the extent permitted by law, you grant us a non-exclusive right to display and use content submitted for publication in connection with our store and products.

We may remove content that is unlawful, fraudulent, abusive, irrelevant, or violates these Terms.

We will not remove legitimate negative reviews solely because they are negative.

Use of third-party services is subject to the applicable third party's terms.

Personal information is processed in accordance with our Privacy Policy.

Our store is powered by Shopify.

Depending on the services used, Shopify and other providers may process customer information in connection with operating our store, checkout, payments, security, fraud prevention, and other ecommerce functionality.


28. Website Availability

We aim to maintain reliable access to our website but do not guarantee that the website will always be:

  • Available

  • Error-free

  • Uninterrupted

  • Free from technical problems

We may temporarily suspend access for:

  • Maintenance

  • Security

  • Updates

  • Technical reasons

  • Circumstances outside our control

This does not affect rights relating to orders already accepted.


29. Limitation of Liability

Nothing in these Terms excludes or limits liability where exclusion or limitation would be prohibited by applicable law.

In particular, nothing is intended to exclude liability for:

  • Fraud or fraudulent misrepresentation

  • Intentional misconduct

  • Death or personal injury where liability cannot legally be excluded

  • Gross negligence where liability cannot legally be excluded

  • Mandatory product liability

  • Mandatory consumer rights

To the maximum extent permitted by applicable law, Fabrica is not liable for indirect, incidental, consequential, or purely economic losses that were not reasonably foreseeable when the contract was entered into.

Where legally permitted, our aggregate contractual liability arising from a particular product purchase will not exceed the amount paid to Fabrica for the product giving rise to the claim.

This limitation does not apply where applicable law requires a higher or unlimited level of liability.


30. Business Customers

If you purchase products primarily for business, commercial, wholesale, or professional purposes, additional limitations may apply to the maximum extent permitted by law.

For business customers:

  • Implied warranties may be excluded where legally permitted

  • Liability for loss of profit, revenue, business, contracts, opportunities, goodwill, or anticipated savings is excluded where legally permitted

  • Our total liability relating to an order will ordinarily be limited to the purchase price of that order

  • The business customer is responsible for compliance with laws applicable to its resale, distribution, importation, or commercial use of the products

Consumer protections intended specifically for individual consumers may not apply to purchases made for business purposes.


31. Indemnification by Business Users

To the extent permitted by law, a business customer agrees to indemnify Fabrica against third-party claims and reasonable losses arising directly from that business customer's:

  • Unlawful resale

  • Unauthorized modification of products

  • Violation of import or export regulations

  • Misrepresentation of products

  • Breach of these Terms

  • Infringement of third-party rights

This section does not apply to individual consumers where such an obligation would be prohibited or unfair under applicable consumer law.


32. Events Outside Our Reasonable Control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, to the extent permitted by applicable law.

Such circumstances may include:

  • Natural disasters

  • War

  • Civil unrest

  • Government action

  • Border closures

  • Trade restrictions

  • Sanctions

  • Customs interruptions

  • Carrier disruptions

  • Strikes

  • Cyberattacks

  • Major telecommunications failures

  • Epidemics or public-health emergencies

  • Supply-chain disruptions

Any mandatory consumer rights relating to prolonged non-delivery or termination remain unaffected.


33. Termination

We may suspend or terminate access to our website or customer accounts where reasonably necessary because of:

  • Fraud

  • Security threats

  • Illegal activity

  • Material breach of these Terms

  • Abuse of our services

Termination does not affect:

  • Existing payment obligations

  • Rights arising before termination

  • Accepted orders unless lawfully cancelled

  • Mandatory consumer rights


34. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue in effect.


35. No Waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

A waiver relating to one event does not automatically constitute a waiver relating to another event.


36. Entire Agreement

These Terms, together with the policies expressly incorporated into them, form the agreement governing use of our website and purchases from us.

If a specific written agreement between Fabrica and a business customer conflicts with these Terms, the specific written agreement will prevail to the extent of that conflict.

Mandatory law always prevails where it cannot legally be excluded by agreement.


37. Governing Law

Except where mandatory consumer law provides otherwise, these Terms and contracts entered into with Fabrica Trading CO., Limited are governed by the laws of Hong Kong.

For consumers, this choice of law does not deprive you of mandatory protections provided by the law that would otherwise apply to you.

In particular, consumers located in the European Union, European Economic Area, United Kingdom, Switzerland, or another jurisdiction providing mandatory consumer protections retain all non-waivable rights granted by applicable law.


38. Disputes and Jurisdiction

We encourage customers to contact us first so that we can attempt to resolve concerns directly.

For business-to-business transactions, and where legally permitted, disputes arising from these Terms or a purchase from Fabrica shall be subject to the competent courts of Hong Kong unless otherwise agreed in writing.

For consumers, nothing in these Terms removes any mandatory right to bring a claim before a court or other competent body that has jurisdiction under applicable consumer law.

We do not require consumers to waive mandatory access to courts or statutory dispute-resolution rights.


39. Changes to These Terms

We may update these Terms from time to time to reflect:

  • Changes to our business

  • Changes to our products

  • Changes to our website

  • Changes to applicable law

  • Regulatory requirements

  • Security requirements

  • Changes to service providers

40. Priority of Mandatory Law

These Terms are intended to operate to the fullest extent permitted by applicable law.

If any provision conflicts with a mandatory consumer protection law that cannot legally be waived, the mandatory law will apply to the extent of that conflict.

The remaining provisions of these Terms will remain effective.
